ReVision Energy is seeking an Associate Counsel to join the Legal & Finance Team. This is a full time, M-F role. The ideal candidate will be located near, or able to commute, to the South Portland ME branch.

ABOUT THE POSITION: The Associate Counsel role is a full-time position in the Legal and Finance team. This position supports internal stakeholders in the Development, Operations, and Sales Teams by providing project-level legal support. The position’s primary responsibility is to negotiate, review, or draft agreements relating to solar energy and electrification projects, such as but not limited to, Power Purchase Agreements, turnkey installation contracts, subcontracts, vendor agreements, partnership agreements, leases, loans, and letters of intent. The position will also be responsible for advising on other commercial and legal matters. The Associate Counsel will lead contract negotiations with counterparties and their counsel and oversee project contract execution, compliance, dispute resolution, and financial closing tasks. The Associate Counsel will also coordinate the legal review of tax and other issues that might impact project financing and provide guidance to the Legal and Finance Division in making project offers to clients. The Associate Counsel will report to the Director of Project Finance and collaborate closely with other experienced members of the legal team and will have access to staff assistance. DUTIES AND RESPONSIBILITIES:+ Negotiate business and legal structures in contracts regarding cost and risk allocation, limits of liability, indemnification, contract time extensions, warranties, guarantees, payment timing, and other standard contract provisions.
+ Answer team member questions regarding contractual obligations or other questions of a legal nature.
+ Research new or upcoming legislation and local, state, and federal regulations, as warranted, and prepare memos for internal consumption.
+ Provide recommendations on resolutions for any contract disputes.
+ Manage financial closings with counterparties and coordinate ReVision Energy’s compliance with the process.
QUALIFICATIONS/SKILLS:+ J.D. and admission to the bar in Maine, New Hampshire, or Massachusetts.
+ 1-3 years of experience with background in transactional law, finance, or related fields preferred.
+ Strong understanding of contract law, and real estate law.
+ Experience negotiating contracts or experience in the construction or energy field preferred.
+ Ability to set own priorities and stay organized;
+ Ability to work remotely and coordinate with stakeholders in multiple states.
+ Effectively coordinate and communicate with customers and co-workers.
